Kelley Drye & Warren LLP’s Corporate practice group is seeking a senior-level Corporate Associate. Candidates must have at least 5 years of experience with a solid foundation in M&A, securities matters and/or lending work, who enjoy the variety and diversity of a broad-based general corporate practice. Our lawyers handle deals of all sizes and complexities. But our sweet spot is serving as a strategic partner and adviser to middle-market companies, both public and private, in the United States and around the world.
Responsibilities
- Provide expert legal advice and guidance on mergers and acquisitions, private securities offerings, corporate governance, and other related matters
- Draft and negotiate complex transactional documents, including purchase agreements, shareholder agreements, and confidentiality agreements
- Conduct due diligence investigations and prepare comprehensive reports for clients
- Manage and oversee junior associates and paralegals on various transactions
- Collaborate with cross-functional teams to ensure seamless execution of deals
- Stay updated on relevant legal developments and industry trends to provide proactive and strategic advice to clients
- Represent clients in negotiations, mediations, and other dispute resolution processes, when necessary
- Public securities and stock exchange compliance including 34 Act, and 33 Act a plus
Requirements
- Juris Doctor (J.D.) degree from an accredited law school
- Minimum of five years of law firm experience in general mergers and acquisitions matters
- Strong knowledge of corporate law, securities regulations, and corporate governance principles
- Excellent drafting and negotiation skills, with a keen attention to detail
- Proven ability to manage multiple complex projects simultaneously
- Exceptional analytical and problem-solving abilities
- Excellent interpersonal and communication skills, both written and verbal
- Ability to work independently and collaboratively in a fast-paced and demanding environment
We work seamlessly across office lines and are open to considering experienced candidates in any Kelley Drye office but have a strong preference for the candidate to be based in Chicago, IL. Bar admission is required in an attorney’s resident and/or affiliated office.
